This agreement is between The Song Masters Network (hereinafter, "TSMN") and the Songwriter.

It is understood that the songwriter commissioning the recording and production services of TSMN and TSMN do hereby agree to adhere to terms and policies of this licensing agreement expressed herein.

The finished recording provided by TSMN shall be referred to as a "studio master." The Songwriter commissioning the recording services of TSMN is and shall remain the legal copyright owner of the song itself. TSMN has no ownership of the song being recorded. TSMN, however, shall remain the legal owner of the studio master that is produced.

TSMN agrees to grant unrestricted user rights to the songwriter to exploit the studio master in any capacity that they choose.

Term: Perpetuity

Territory: Throughout the universe.

Credit: A credit as follows: "Recorded by SongMasters.net" shall be displayed on all commercially released versions of the recording.

Granted Rights: During the Term of this Agreement, the Songwriter hereby grants TSMN the right to be a non-exclusive distributor in the Territory to perform customary distribution services therein.

TSMN shall have the right to publicize, advertise and exploit the recording on the Internet and through other musical distribution avenues, as well as have the right to conduct individual sales and/or on audio recordings hereunder and to cause or permit others to do so.

Indemnification: The Songwriter will at all times indemnify and hold harmless from and against any and all claims, damages, liabilities, costs and expenses, including legal expenses and reasonable attorney fees, arising out of any breach by the Songwriter from any claims due to the activities of the Songwriter outside of the terms of this agreement. Furthermore, the Songwriter represents that he/she is the legal copyright owner of the composition and has every legal right to commission the recording services of TSMN and allow the exploitation indicated herein to be enacted by TSMN.

Compensation: The Songwriter shall pay TSMN a 50% (fifty percent) non-refundable deposit upon ordering the services of TSMN. Should the studio master generate financial success in the marketplace in any capacity and experience sales by any means in excess of $5,000, TSMN shall have the right to and be entitled to collect 50% of the earnings derived from the exploitation of the studio master. Any sales of this recording by TSMN will compensate the Songwriter the industry standard (currently) 9.1 cents per unit sold as payment for mechanical licensing laws of the United States. Payments to the Songwriter shall be made no less than three times per year should any sales by TSMN take place.

Right to Use Name and Likeness: TSMN shall have the right to use and publish and to permit others to use and publish the Songwriter's likeness, name, credits, logo, and biographical information in connection with the advertisement, distribution and exploitation for the sale of the composition.

Songwriter warrants and represents: The Songwriter is not and shall not be under any disability, restriction or prohibition in respect of its rights to execute this Agreement and perform its obligations hereunder or to grant to TSMN the rights granted herein.

Miscellaneous: This agreement is between TSMN and the Songwriter and/or their legal representatives only.

Entire Understanding: This Agreement contains the entire understanding of the parties relating to the subject matter hereof and cannot be changed or terminated except by an instrument signed by both the Songwriter/s and TSMN.
